Platform: The Bizbuddy SaaS application, website, APIs, WhatsApp automation tools, AI order processing engine, POS interface, delivery integrations, and thermal printing interfaces.

Client: The restaurant, food business, or authorized representative subscribing to the Platform.

Subscription: The paid or trial access plan selected by the Client granting access to Platform features for a defined billing period.

AI Engine: The automated natural language and voice processing system that interprets and routes Consumer food orders.

Force Majeure: Any event beyond reasonable control including acts of God, government-mandated shutdowns, power outages, or third-party platform outages such as Meta or Google service disruptions.

To access the Platform you must:

  • Be operating a lawful food service business in Pakistan
  • Provide accurate, complete, and current information at registration
  • Be at least 18 years of age and legally capable of entering a binding contract
  • Maintain the confidentiality of your account credentials

Each Client account is for the exclusive use of the registered business entity. Account sharing across multiple unrelated businesses is not permitted.

Subscription fees are payable in advance for each billing cycle (monthly or annual). All prices are in Pakistani Rupees (PKR), exclusive of applicable taxes.

If payment is not made by the due date:

Day 1-5 Grace period. Access remains active.
Day 6-15 Platform access is suspended.
Day 15+ Subscription is terminated and account deactivated.

By using the Platform, you agree that you will NOT:

  • Use the Platform for unlawful purposes or in violation of PECA 2016
  • Attempt to reverse engineer, decompile, or extract the source code or AI logic
  • Use automated scripts or bots beyond authorized API use
  • Resell, sublicense, or white-label the Platform without written authorization
  • Upload malware, viruses, or any malicious code
  • Attempt unauthorized access to any part of the Platform or other accounts

Violations may result in immediate account termination without refund.

The AI Engine processes WhatsApp-based orders using natural language understanding. While we continuously improve accuracy, the AI operates on probabilistic models and is not infallible.

Bizbuddy expressly disclaims liability for losses arising from order processing errors due to ambiguous language, background noise in voice messages, outdated menu data maintained by the Client, or AI inaccuracies.

Client Responsibility

You are responsible for maintaining accurate menu data, monitoring AI-processed orders, and resolving any consumer disputes arising from order errors at the restaurant level.

Platform IP: All rights to the Platform including source code, AI models, algorithms, automation workflows, and UI design are the exclusive property of Bizbuddy. No license beyond the right to use the Platform is transferred.

Client Content: You retain full ownership of your menus, logos, pricing data, and business information uploaded to the Platform.

Trade Secrets: The AI prompt logic, NLP configurations, and order routing algorithms of the Platform are trade secrets protected under Pakistani law.

Maximum Liability Cap

Bizbuddy's total liability shall not exceed the total Subscription fees paid by the Client in the 3 calendar months immediately preceding the event giving rise to the claim.

Bizbuddy shall not be liable for loss of profits, revenue, or business opportunity; data loss or corruption; indirect or consequential damages; damages from AI Engine errors; or losses from third-party service failures including Meta, Google, Vercel, or delivery partners.

By Client: You may cancel your Subscription at any time through your account dashboard. Cancellation takes effect at the end of the current paid billing cycle.

By Bizbuddy: We may suspend or terminate accounts immediately for material breach, fraudulent conduct, or if continued use poses a legal, reputational, or security risk.

After Termination: You may submit a data export request within 30 days of termination. Client data is retained per our Privacy Policy retention schedule then permanently deleted.

Step 1: Good Faith Negotiation — Parties shall first attempt to resolve the dispute through direct negotiation within 30 days.

Step 2: Arbitration — Unresolved disputes shall be referred to binding arbitration under the Arbitration Act, 1940 of Pakistan. Sole arbitrator, seated in Karachi, conducted in English.

Governing Law: Laws of the Islamic Republic of Pakistan. Courts of Karachi, Sindh have exclusive jurisdiction.
